Terms of Service

1. Acceptance of Terms

By accessing or using CorpFy AI ™ and its AI-powered SaaS platform ("Services"), you agree to be bound by these Terms of Service ("Terms"), the Privacy Policy, and the Refund & Cancellation Policy. If you do not agree, you must discontinue use immediately. These Terms are compliant with the Information Technology Act, 2000, the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and the Digital Personal Data Protection Act, 2023.

2. Scope of Services

Our platform provides end-to-end support for startups in India, including:

• Company Registration (Private Limited, LLP, OPC, Partnership)
• Legal Assistance & Contract Drafting
• Startup India Registration
• Tax & Compliance (GST, TDS, Income Tax)
• VC Collaboration & Investor Data Room
• IP & Trademark Protection
• Corporate Filing & Statutory Compliance
• HR & Payroll Management
• AI-Powered Automation & Compliance Monitoring

We may update, modify, or discontinue features at our discretion with reasonable prior notice where feasible.

3. Eligibility

• You must be at least 18 years old to use our Services.
• You must have the legal authority to represent your business entity.
• Use of the Services must comply with all applicable laws in India.
• By using the platform, you represent and warrant that you meet all eligibility criteria.

4. Account Registration & Security

• You must register for an account to access most features of the platform.
• You agree to provide accurate, current, and complete information during registration.
• You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
• You must notify us immediately at support@corpfy.in of any unauthorized access or suspected breach of your account.
• CorpFy AI ™ reserves the right to suspend or terminate accounts found to be compromised or used fraudulently.

5. Acceptable Use & Prohibited Activities

You agree to use the Services only for lawful purposes. The following activities are strictly prohibited:

• Submitting false, misleading, or fraudulent information to CorpFy AI ™ or any regulatory authority through the platform.
• Using the platform to facilitate money laundering, tax evasion, or any activity that violates the Prevention of Money Laundering Act, 2002.
• Attempting to reverse-engineer, decompile, or extract the source code of CorpFy AI ™'s software or AI models.
• Uploading or transmitting viruses, malware, or any harmful code.
• Scraping, harvesting, or systematically collecting data from the platform without prior written consent.
• Using the platform in a manner that infringes the intellectual property rights of any third party.
• Impersonating any person or entity or misrepresenting your affiliation with any person or entity.
• Using the platform to send unsolicited communications or spam to other users or third parties.

Violation of this section may result in immediate suspension, termination, and potential legal action.

6. AI-Powered Features & Limitations

• CorpFy AI ™ uses artificial intelligence to automate workflows, generate document drafts, and provide compliance recommendations.
• AI-generated outputs are provided for assistance only and do not constitute legal, financial, or professional advice.
• You remain solely responsible for reviewing, approving, and submitting any AI-generated content to regulatory bodies or third parties.
• CorpFy AI ™ does not guarantee that AI-generated compliance recommendations will result in regulatory approvals.

7. User Responsibilities

You agree to:

• Provide accurate and complete information during registration and onboarding.
• Maintain confidentiality of your account credentials.
• Use the Services only for lawful purposes consistent with all applicable Indian laws.
• Ensure compliance with tax, legal, and regulatory obligations applicable to your business.

You are solely responsible for any content, filings, or data submitted through the platform.

8. Intellectual Property

• All content, software, AI models, and features are the intellectual property of CorpFy AI ™ or its licensors.
• You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services for your own business purposes.
• Unauthorized reproduction, distribution, or modification of our platform is prohibited and may attract liability under the Copyright Act, 1957 and the Information Technology Act, 2000.

9. Payments & Billing

• Certain Services may require subscription fees or one-time payments as per the published pricing plans.
• All fees are payable in Indian Rupees (INR). GST and other applicable taxes will be charged additionally.
• Taxes and government statutory charges (e.g., MCA filing fees, trademark fees) are your responsibility and are separate from CorpFy AI ™'s platform fees.
• Failure to pay applicable fees may result in suspension or termination of Services.
• CorpFy AI ™ reserves the right to revise pricing with prior notice of at least 30 days.

10. Service Availability & SLA

CorpFy AI ™ endeavours to maintain platform availability but does not guarantee uninterrupted or error-free service. Specifically:

• Scheduled maintenance windows may cause temporary downtime. We will provide advance notice where possible.
• We are not liable for losses arising from service unavailability due to third-party infrastructure, internet outages, or force majeure events.
• No specific service level agreement (SLA) is implied unless separately agreed in writing for enterprise customers.

11. Data Privacy

Your use of the Services is governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains how we collect, use, store, and protect your data in accordance with the Digital Personal Data Protection Act, 2023, and the IT (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011.

12. Third-Party Services

Our Services may integrate with third-party providers including payment gateways, cloud hosting, HR processors, and regulatory portals. We are not responsible for the performance, availability, or privacy practices of these third parties. Your use of third-party integrations is governed by their respective terms and policies.

13. Limitation of Liability

• We provide Services on an "as-is" and "as-available" basis.
• We are not liable for indirect, incidental, special, or consequential damages including loss of data, profits, business, or goodwill.
• Our aggregate liability for direct damages shall not exceed the total fees paid by you in the 12 months preceding the claim.
• Nothing in these Terms shall limit our liability for fraud, death, or personal injury caused by our gross negligence.

14. Indemnification

You agree to indemnify, defend, and hold harmless CorpFy AI ™, its affiliates, directors, employees, and agents from any claims, damages, penalties, fines, or expenses (including legal fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) any content or data you submit through the platform; or (d) your violation of applicable law.

15. Force Majeure

CorpFy AI ™ shall not be liable for any failure or delay in performing its obligations under these Terms caused by circumstances beyond its reasonable control, including but not limited to acts of God, governmental actions, natural disasters, pandemics, cyberattacks, internet failures, power outages, or changes in applicable law.

16. Termination

We may suspend or terminate your account if:

• You violate these Terms or any applicable law.
• You fail to pay applicable fees.
• Required by law, court order, or regulatory authority.
• We reasonably suspect fraudulent or malicious activity on your account.

Upon termination, your right to access the Services ceases immediately. Clauses that by their nature survive termination (including Indemnification, Limitation of Liability, and Governing Law) shall continue to apply.

17. Dispute Resolution & Arbitration

In the event of any dispute arising out of or in connection with these Terms:

• The parties shall first attempt to resolve the dispute amicably through good-faith negotiation within 30 days of written notice.
• If unresolved, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator mutually appointed by both parties.
• The seat and venue of arbitration shall be Hyderabad, Telangana. Proceedings shall be in English.
• Nothing in this clause prevents either party from seeking urgent interim relief from courts of competent jurisdiction.

18. Governing Law & Jurisdiction

These Terms are governed by the laws of India, including the Information Technology Act, 2000, the Contract Act, 1872, the Consumer Protection Act, 2019, and the Digital Personal Data Protection Act, 2023. Any disputes not resolved by arbitration shall be subject to the exclusive jurisdiction of the courts in Hyderabad, India.

19. Grievance Officer

In accordance with the Information Technology Act, 2000, and the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, CorpFy AI ™ has designated a Grievance Officer to address complaints and concerns:

20. Changes to Terms

We may update these Terms periodically. Material changes will be communicated via email or platform notifications with at least 15 days' prior notice. Continued use of the Services after the effective date of revised Terms constitutes your acceptance.
